TERMS + CONDITIONS

GENERAL

By accepting (whether verbal or written) a Sprout Creative quote or estimate, you are deemed to have agreed to the terms of Sprout Creative contained within this terms and conditions page, including payment of our account. Terms and conditions are subject to change at any time. It is the responsibility of the user to periodically review terms and conditions. Any form of artwork designed and created by Sprout Creative, including images and content, can not be copied or reproduced in part without prior written consent of Sprout Creative.

CLIENT BRIEF AND INSTRUCTIONS

Sprout's commencement of workflow begins with a client's brief. If the brief varies greatly as the project evolves this may result in a change in estimated cost and timeframe parameters. Sprout Creative aims to advise clients of such changes during the course of workflow. Sprout Creative's involvement is provided only on the basis that our clients provide us with accurate, necessary and timely instructions, authority and information, to enable us to undertake lawfully and effectively the project or campaign instructed, and that those instructing us, indemnify us accordingly. We accept material for printing and/or publication on the basis that as a Sprout Creative client, you are responsible for ensuring it is free from defamatory matter and does not infringe copyright or any other third party rights, and that those instructing us, indemnify us accordingly.

TIME ESTIMATES

Our time estimates and costs, unless specified differently, are based on an initial design and concept (possibly more depending on project / brief) with two sets of minor amendments, as each concept is an individual custom artwork piece. Changes in excess of one round of amendments will be charged at an hourly rate.

TERMS OF TRADE - QUOTES AND ESTIMATES

Sprout Creative aims to be fair and reasonable in our pricing structure for all projects and campaigns or any other billable product or service. Sprout Creative quotes or estimates are valid for a period of 90days for all in-house concepts and design. Quotes or estimates relating to printing costs (using external suppliers) are valid for a period of only 30days. Prices are subject to change after this time period has elapsed. Additional charges will be incurred if production specifications, as detailed in our quote or estimate, are altered. Our term 'Disbursements' include miscellaneous administration and project management outlays such as attendance to meetings, phone calls, postage and petties, courier, provision of quotes and alterations thereto. Incidental costs that may not be indicated in our initial quote or estimate include items such as hard copy mock-ups, costs of despatching artwork ie. via Websend or Quickcut, burning of distilled files to CD's / DVD's, postage, etc.

TERMS OF TRADE - INVOICES

Sprout Creative invoices on a weekly basis, or once a project is complete. All payment terms are strictly 14 days from date of invoice, unless other arrangements have been made. First-time clients may be required to pay an invoice in full COD, unless prior agreed credit terms for our invoice payment has been granted. If a project or campaign is not completed in a calendar month we may invoice part-payment for the work completed to date. In the event where you have instructed us to undertake any service, you will be responsible for our costs i15providing that service, whether or not it proceeds to its conclusion. We reserve the right to charge for costs and expenses incurred in recovering late payments, and to charge interest at the rate then in force, pursuant to the Late Payment of Commercial Debts (Interest) Bill 2003 as at the due date. Our term 'Disbursements' include miscellaneous administration and project management outlays such as attendance to meetings, phone calls, postage and petties, courier, provision of quotes and alterations thereto. If a client wishes to raise a query on any invoices produced by Sprout, it must be raised within 14 days from the date of said invoice.

USE OF THIRD PARTY CONTRACTORS

We may, as your supplier or agent, directly or through an intermediary, ask another contractor ("third party contractor") to carry out some or all of any work which you instruct us to carry out for you. Sprout Creative will cover the charges of a third party contractor on your behalf and recharge them to you with our own fees, as per our quote or estimate. We will take all reasonable care in selecting and instructing a third party contractor. We have no control, however, over the activities of a third party contractor and therefore accept no responsibility for the services provided to you by that third party contractor or for any errors or omissions in its work or products.

OWNERSHIP OF ARTWORK - INTELLECTUAL PROPERTY

Your acceptance of a Sprout Creative quote or estimate to proceed with artwork is given on the understanding that as a client, you will be the owner of the completed item/s as described, and not the beneficial owner of any pre-work, methods used, or draft copy which may be created during the preparation of the finished work. Intellectual property/copyright in all design and artwork, and other documents provided by Sprout Creative in connection with a said project or campaign shall remain the property of Sprout Creative. Additional costs will be applied to our quote or estimated price to the purchase of the 'raw' artwork if client so requires.

USE OF WORK FOR SPROUT CREATIVE SELF-PROMOTION

We reserve the right to use any artwork we produce for the purpose of self-promotion.
